If it has a rumble seat it will have a clearance issue for sure. When I installed one in my 39 I made a template the same size of the Mitchell gearbox out of cardboard, then measured from the banjo flange forward to see if it cleared the pan dropdown. Sue Mitchell can give you all the dimensions.
